Sony S-AIRPLAY Music System Contest

OFFICIAL RULES

  1. Eligible Entrants

    The Sony Cierge S-AIRPLAY Music System Contest (the "Contest") is open only to Sony Cierge members who are legal residents of the United States and are 18 years of age or older as of the date of entry ("Entrants"). Employees, officers, directors, contractors, agents and representatives of Sony Corporation of America and its parent, affiliates, subsidiaries, retailers, distributors, suppliers, advertising, public relations and promotion agencies are not eligible to participate. In addition any immediate family member (defined as mother, father, sister, brother, child, husband, wife and their respective spouses, regardless of where they reside) of any person that is ineligible to participate in the Contest, as well as any individual residing in the same household as any such person, whether related or not, will be ineligible to participate in the Contest. Void where prohibited. All applicable federal, state and local laws apply.

  2. Submission Period

    The Submission Period begins on February 5, 2010 at 12:00 p.m. Eastern Standard Time ("EST") and ends on February 26, 2010 at 11:59 p.m. EST.

  3. Submission Guidelines.

    To enter the Contest, Entrants must submit a true entry in English that describes in 250 words or fewer (approximately 3-5 sentences) why you value your personal cierge or tell us about your most beloved Cierge experience ("Your Entry").

    The Entrant must submit Your Entry via the official entry form ("Entry Form"), which is attached to the email regarding the Contest circulated by Sony on or about February 5, 2010. The Entry Form can also be obtained by emailing a request for the Entry Form to cierge@sonyusa.com. Any other form of submission is prohibited. Upon submission of Your Entry, the Entrant must check the box indicating that he or she has read, fully understands, and agrees to the Official Rules of the Contest. If this box is not checked, then that Entrant's submission will be disqualified.

  4. Submission Restrictions

    (a) In General. Each Entrant may enter only once. Each submission may be entered by only one Entrant (i.e., two or more Entrants may not share a submission or enter identical submissions). In the event of a dispute regarding the submission of an entry, the entry will be deemed to have been submitted by the authorized account holder of the e-mail address from which the entry was submitted. The "authorized account holder" is the natural person assigned an e-mail address by an Internet service provider, online service provider or other organization responsible for assigning e-mail address for the domain associated with the submitted address.

    (b) Third Party Rights. You may not reference or identify any person other than yourself (or any member of the Cierge team) in Your Entry unless you have received that person's permission in writing. Sony may require proof of written permission as a prerequisite to the award of a prize, and the inability to produce the proof of written permission to Sony's satisfaction, within two business days of the request from Sony may result in disqualification of your submission, in Sony's sole discretion. A submission must not contain material that violates or infringes another's rights, including but not limited to privacy, publicity or intellectual property rights, or that constitutes copyright infringement, or has been previously published or submitted in any competition.

    (c) Grant of Rights to Sony. All submissions become the property of Sony. By entering a submission, Entrant (i) grants Sony an exclusive, irrevocable, perpetual, worldwide, royalty-free, transferable, sub-licensable license and right to, including without limitation, use, perform, exhibit, reproduce, distribute, create derivative works from and/or otherwise exploit Your Entry in any manner and in any media now known or hereafter devised. Sony may, but is under no obligation to, post Your Entry on the internet and/or in other Sony promotional materials. Entrant understands that he or she will not receive any compensation in connection with a submission, and releases and agrees to hold harmless Sony from any liability in conjunction therewith.

  5. How Entries Will be Judged

    All valid entries submitted during the Submission Period will be reviewed on a rolling basis by a panel of three (3) judges (the "Panel"), comprised of judges who are employees of Sony.

    The Panel will judge the submissions on a 1-10 point-scale system based on the following criteria:

    • Relevance to the Sony Cierge value proposition
    • Originality
    • Creativity
    • 40% of total score
    • 35% of total score
    • 25% of total score

    The decision of the judges is final in all matters relating to this Contest. In the event of a tie, the tie will be broken by the submission with the higher score in the Relevance to the Sony Cierge value proposition section.

  6. Prize

    (a) One (1) Prize

    The Panel will select the winner. The winner will receive an S-AIRPLAY Music System. If the winner is at least 18 but still considered a minor in his/her jurisdiction of residence, the prize may be awarded in the name of his/her parent or legal guardian who will be responsible for fulfilling all requirement imposed on winners set forth herein. Approximate retail value: US$399.00.

    (b) Taxes

    All federal, state and local taxes on the prize will be the sole responsibility of the winner.

  7. Announcement of the Winner

    Winners will be announced and notified on or about April 1st, 2010.

  8. Acceptance of Prize

    (a) Agreement to Rules/Releases. Once notified, the winner must complete, execute, and return an Affidavit of Eligibility, a Liability Release, where lawful, a Publicity Release, and any additional grant of rights, consent, release or other documentation that Sony may require within five (5) days of notification. Refusal to sign these documents or failure to sign them within ten (10) days of notification may result in the forfeiture of the prize and the selection of an alternate winner at the sole discretion of Sony. Acceptance of a prize constitutes permission to use the winner's name, image, likeness, voice, hometown, biographical and work-related information, performances, recordings, photograph, statements, and/or prize information for advertising, promotional, publicity or other purposes worldwide without limitation and without additional compensation, and without review, approval or further notice in any and all media now known or hereafter devised, including the Internet, except where prohibited. By accepting a prize, a winner releases and agrees to hold harmless Sony, its affiliates, subsidiaries and its and their respective directors, officers, agents, representatives and employees, from all liability associated with participation in the Contest and receipt of the prize. No prize substitution, transfer or cash redemption of a prize is permitted except at the sole discretion of Sony, who reserves the right to substitute a prize with one of comparable or greater value.

    (b) Limitations of Liability. Sony will not be responsible or liable for any problems or technical malfunctions, electronic or otherwise, that result in a lost, late or incomplete submission, or in injury or damage to any computer. If, for any reason, the Contest (or any part thereof) is not capable of running as planned by reason of infection by computer virus, worms, bugs, tampering, fraud, or any other causes beyond the control of Sony which, in the sole opinion of Sony, could affect the administration of the Contest (or any part thereof), Sony reserves the right in its sole discretion to cancel, terminate, modify or suspend the Contest and select the winner(s) in a manner which is fair, equitable and in accordance with these Official Rules, as determined by Sony in its sole discretion.

    (c) Disqualification. Participation in this Contest constitutes your full and unconditional agreement to these Official Rules and Sponsor's decisions, which are final and binding in all matters related to this Contest. In the event of non-compliance with any of the terms of these Official Rules, Sony reserves the right, in its sole discretion, to disqualify any Entrant it determines is ineligible for the Contest, violates these Official Rules, or has tampered with the submission process or the operation of the Contest.

    Sony may seek recovery of the prize or the value thereof in the event of disqualification or forfeiture after the prize or any part thereof has been awarded. Entrants who engage in any fraudulent activity may be subject to disciplinary action up to and including termination.

  9. Governing Law

    The Contest will be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles.

  10. Sponsor
